Terms of Service
Acceptance of Terms
By accessing or using AuditLoom, you agree to these Terms of Service. If you accept these terms on behalf of a company or another legal entity, you represent that you have the authority to bind such entity. If you do not agree to these terms, you must not access or use the service.
Scope of Service
AuditLoom provides software workflows for AI compliance assessment, evidence management, and documentation support. Service availability and access to features depend on the active subscription plan. Some features may be in preview, roadmap, or pilot phase and may change over time.
Eligibility & Account Security
You are responsible for maintaining the confidentiality of your account credentials and all activities performed under your account. You must promptly notify LoomLabs of any unauthorized access, compromised credentials, or security incidents affecting your account.
- Provide accurate registration and billing information
- Keep user access and authorizations up to date
- Apply reasonable security controls for your organization
Subscriptions, Billing & Payment
Paid subscriptions renew automatically according to the selected billing cycle, unless cancelled before the renewal date. Fees are non-refundable except as provided by consumer regulations or specific contracts. You authorize LoomLabs and its billing partners to charge all fees and taxes associated with your account.
Acceptable Use
You may use the service only for lawful commercial purposes. You must not abuse, disrupt, decompile, or attempt unauthorized access to the platform or related infrastructure.
Customer Data & Confidentiality
You retain ownership of your data. You grant LoomLabs a limited license to process the data solely to provide, protect, and improve the service as described in our Privacy Policy. LoomLabs treats non-public customer data as confidential and applies strict technical and organizational measures.
Intellectual Property
LoomLabs and its licensors retain all rights, titles, and interests in the platform, software, documentation, and related intellectual property. Subject to these terms and the payment of applicable fees, LoomLabs grants you a limited, non-exclusive, non-transferable right to access and use the service during the subscription period.
Third-Party Services
The service may integrate with third-party tools or providers. Use of third-party services is governed by their terms and privacy policies. LoomLabs is not responsible for third-party services, disruptions, policies, or data handling outside of systems controlled by LoomLabs.
No Legal Advice
AuditLoom provides technical tools and compliance workflows only. The service does not constitute legal advice, legal opinions, certifications, or guarantees of regulatory approval. Final legal interpretation and compliance determinations remain your sole responsibility and must be validated by qualified legal advisors.
Your Role under the EU AI Act
You acknowledge that you retain the status of provider, deployer, importer, distributor, or authorized representative under Regulation (EU) 2024/1689 (AI Act). LoomLabs does not assume any of these roles on your behalf. Responsibility for AI systems classification, fundamental rights impact assessments, drafting conformity declarations, registration in EU databases, post-market surveillance, and notifying competent authorities of serious incidents remains entirely yours.
- AuditLoom is a software tool that structures, versions, and timestamps your compliance artifacts.
- Final decisions and legal classifications rest with you and your qualified advisors.
- You must have all generated artifacts validated by your DPO, legal counsel, or another qualified auditor before any regulatory filings.
AI-Assisted Content (Article 50 Transparency)
AuditLoom uses third-party artificial intelligence models (including those provided by Anthropic and OpenAI) to assist in generating analyses, summaries, drafts, and recommendations. Outputs marked as AI-assisted within the platform are produced using these models.
In compliance with Article 50 of Regulation (EU) 2024/1689, AI-assisted outputs are purely indicative and require human review. You must not rely on AI-generated content for binding legal, regulatory, or safety decisions without independent human validation by a qualified auditor.
The list of currently used AI providers and their related data flows are documented in our privacy documentation.
Service Availability & Modifications
LoomLabs may modify, enhance, or discontinue features from time to time. We may also perform scheduled maintenance that temporarily affects service availability. Where possible, we will provide prior notice of significant changes.
Suspension & Termination
You can cancel your subscription in accordance with your plan's terms. LoomLabs may suspend or terminate access in case of material breach of these terms, non-payment, or legal requirements. Upon termination, your right to access the service ceases immediately.
Disclaimer of Warranties
To the maximum extent permitted by law, the service is provided 'as is' and 'as available', without warranties of any kind, either express, implied, or statutory.
Limitation of Liability
To the maximum extent permitted by law, LoomLabs is not liable for indirect, incidental, special, consequential damages, or loss of profits, revenues, or data. LoomLabs' aggregate liability for claims related to the service is limited to the fees paid by you to LoomLabs during the twelve months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify and hold LoomLabs harmless from any claims, liabilities, damages, and costs arising from your misuse of the service, violation of law, or breach of these terms.
Governing Law & Dispute Resolution
These terms are governed by the applicable laws of the European Union and the laws of the country where LoomLabs is legally registered, as specified in your commercial agreement. The parties will first seek to resolve disputes in good faith.
